What does übertragende Sanierung mean?

In a transfer of the business by way of an asset deal (übertragende Sanierung), the business operations or part of them are transferred to a new legal entity and continued there, usually in insolvency proceedings. The aim is to preserve the business and stabilise it so that it can operate profitably again in the future. The assets the business needs are transferred by way of an asset deal. The liabilities remain with the old legal entity, and the creditors are satisfied from the purchase price. This allows the business to make a fresh start without its old debts. The advantage of this form of restructuring is that the business continues and jobs are preserved.
